Welcome to Special Graphics LLC. These Terms and Conditions ("Terms") govern your access to and use of the Special Graphics online marketplace, website, mobile applications, and all related products, services, tools, and features.

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Introduction

Welcome to Special Graphics LLC ("Special Graphics," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Special Graphics online marketplace, website, mobile applications, and all related products, services, tools, and features (collectively, the "Platform").

Special Graphics LLC operates an online creative marketplace that enables businesses, organizations, entrepreneurs, and individuals ("Clients") to connect with independent creative professionals ("Designers") through design contests, one-to-one design projects, and other creative collaboration services.

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable policies incorporated by reference. If you do not agree with these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Special Graphics LLC.

2. Acceptance of the Terms

By creating an account, posting a design contest, submitting design work, purchasing services, or otherwise using the Platform, you agree to comply with these Terms and all applicable federal, state, local, and international laws and regulations.

You further represent and warrant that:

You are at least eighteen (18) years of age or the legal age required to enter into binding contracts in your jurisdiction.

You possess the legal authority and capacity to enter into this agreement.

Any information you provide to Special Graphics is accurate, complete, and kept up to date.

You will use the Platform only for lawful purposes.

You will comply with all applicable intellectual property, privacy, consumer protection, and other applicable laws.

If you use the Platform on behalf of a company, organization, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, references to "you" include both the individual user and the represented entity.

Special Graphics reserves the right to refuse access to the Platform or terminate user accounts that violate these Terms or applicable law.

3. Definitions

For purposes of these Terms, the following definitions apply:

Account means a registered user profile created to access the Platform.

Client means any individual or legal entity that creates a design contest, purchases design services, or hires a Designer through the Platform.

Designer means an independent freelancer, creative professional, or agency that submits design work or provides creative services through the Platform.

Contest means a design competition created by a Client in which multiple Designers may submit original design concepts for consideration.

Design Brief means the project description, specifications, requirements, instructions, files, and other information provided by a Client for a Contest or Project.

Design Submission means any logo, illustration, packaging, website design, branding, artwork, or other creative work submitted by a Designer.

Winning Design means the Design Submission officially selected by the Client as the winning entry in a Contest.

Project means a direct engagement between a Client and a Designer outside of the Contest format.

Platform means the websites, applications, software, services, systems, and technologies owned or operated by Special Graphics LLC.

Content means text, graphics, images, logos, files, videos, comments, ratings, reviews, software, and all other materials available on or through the Platform.

Intellectual Property Rights include copyrights, trademarks, patents, trade secrets, design rights, moral rights, and all other proprietary rights recognized under applicable law.

User means any person or organization accessing or using the Platform, including Clients, Designers, and visitors.

4. About Special Graphics LLC

Special Graphics LLC is a United States limited liability company that operates an online creative marketplace connecting Clients with independent Designers from around the world.

Our Platform enables Clients to obtain original creative work through design contests, direct projects, and other collaborative services while providing Designers with opportunities to showcase their skills, compete fairly, and grow their professional careers.

Unless expressly stated otherwise, all services available through the Platform are owned, managed, or administered by Special Graphics LLC.

Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between Special Graphics LLC and any Designer or Client. Designers remain independent contractors responsible for their own business operations, taxes, licenses, insurance, and legal obligations.

5. Changes to these Terms

Special Graphics LLC may revise, modify, update, or replace these Terms from time to time to reflect changes in applicable laws, business operations, Platform features, security requirements, or industry practices.

When material changes are made, we will update the "Effective Date" displayed at the beginning of these Terms and may provide additional notice through the Platform or by email where required by law.

Your continued access to or use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree with any revised Terms, you must discontinue using the Platform and, if applicable, close your account.

Special Graphics reserves the right to modify, suspend, or discontinue any feature, service, pricing, or functionality of the Platform at any time, with or without prior notice, to the extent permitted by applicable law.

6. Eligibility Requirements

To access or use the Platform, you must meet the following eligibility requirements:

You must be at least eighteen (18) years of age or the legal age required to enter into binding contracts in your jurisdiction.

You must have the legal capacity to enter into enforceable agreements.

You must not be prohibited from using the Platform under any applicable law, regulation, court order, or governmental sanction.

If you register on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You agree to comply with all applicable local, state, federal, and international laws while using the Platform.

Special Graphics LLC reserves the right to refuse registration or restrict access to any individual or entity at its sole discretion where permitted by applicable law.

7. User Registration

Certain features of the Platform require the creation of a registered user account.

During registration, you agree to:

Provide accurate, complete, and current information.

Maintain and promptly update your account information.

Use your real legal name or the authorized name of your business.

Provide a valid email address and any additional information requested during registration.

Maintain only those accounts permitted under these Terms.

By creating an account, you represent and warrant that all information submitted is truthful and not misleading.

You are responsible for ensuring that your account information remains accurate throughout your use of the Platform.

8. Account Verification

To maintain the security and integrity of the Platform, Special Graphics LLC may require identity verification at any time.

Verification may include, but is not limited to:

Government-issued identification.

Business registration documents.

Proof of address.

Tax identification information.

Payment verification.

Email verification.

Mobile phone verification.

Video or biometric verification where permitted by applicable law.

Failure to complete requested verification may result in:

Temporary account restrictions.

Delayed payments or withdrawals.

Contest participation limitations.

Suspension or termination of your account.

Special Graphics LLC reserves the right to reject verification documents that appear altered, fraudulent, expired, incomplete, or otherwise unreliable.

9. Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

You agree to:

Choose a strong and secure password.

Keep your login credentials confidential.

Not share your account with any other person.

Immediately notify Special Graphics LLC of any unauthorized access, suspected security breach, or misuse of your account.

Log out after each session when using public or shared devices.

Special Graphics LLC is not responsible for any loss or damage resulting from your failure to maintain the security of your account credentials.

We may implement additional security measures, including multi-factor authentication, account monitoring, login verification, or temporary security holds, to protect users and the Platform.

10. Multiple Accounts

Unless expressly authorized in writing by Special Graphics LLC, each individual or legal entity may maintain only one Client account and one Designer account.

Users must not:

Create multiple accounts to gain an unfair competitive advantage.

Circumvent account suspensions or restrictions.

Manipulate contest results through duplicate accounts.

Submit entries from multiple accounts in the same Contest.

Use another person's account without authorization.

Buy, sell, rent, transfer, or assign accounts.

Where duplicate, fraudulent, or unauthorized accounts are identified, Special Graphics LLC may:

Merge accounts.

Remove duplicate accounts.

Cancel contest entries.

Withhold payments.

Suspend or permanently terminate all related accounts.

11. Suspension and Termination of Accounts

Special Graphics LLC reserves the right to suspend, restrict, or permanently terminate any account at its discretion where permitted by law, including where a user:

Violates these Terms or any Platform policy.

Provides false or misleading information.

Engages in fraudulent, deceptive, or illegal activities.

Infringes intellectual property rights.

Circumvents Platform fees or payment systems.

Harasses, threatens, or abuses other users.

Attempts to manipulate contests, rankings, reviews, or ratings.

Uses automated software, bots, or unauthorized scripts.

Compromises the security or integrity of the Platform.

Depending on the nature of the violation, Special Graphics LLC may take one or more of the following actions:

Issue a warning.

Temporarily restrict account functionality.

Remove specific content or submissions.

Suspend participation in contests or projects.

Freeze payments pending investigation.

Permanently terminate the account.

Report unlawful conduct to the appropriate authorities.

Termination of an account does not relieve the user of any obligations incurred before termination, including payment obligations, intellectual property transfers, or legal responsibilities arising under these Terms.

Special Graphics LLC reserves the right to retain records necessary to comply with applicable legal, regulatory, accounting, or security requirements following account termination.

12. Overview of Services

Special Graphics LLC operates an online creative marketplace that connects Clients with independent Designers to facilitate the creation of original creative work through design contests, one-to-one projects, and other creative services.

The Platform provides tools that allow Clients to:

Launch design contests.

Hire Designers directly.

Receive multiple design concepts.

Collaborate with Designers through revisions.

Purchase intellectual property rights in selected designs.

Manage projects through a secure online workspace.

The Platform provides Designers with opportunities to:

Participate in design contests.

Offer professional creative services.

Build a public portfolio.

Earn compensation for accepted work.

Develop professional reputations through ratings and reviews.

Special Graphics LLC acts solely as an online marketplace and technology platform. Unless expressly stated otherwise, Special Graphics LLC is not a party to contracts entered into between Clients and Designers and does not provide design services directly.

13. Design Contests

A Design Contest is a project initiated by a Client inviting multiple Designers to submit original creative concepts based on a Design Brief.

Clients are responsible for:

Providing clear project requirements.

Selecting an appropriate contest category.

Funding the advertised prize before the contest begins.

Providing timely feedback to participating Designers.

Selecting one or more winning entries within the applicable contest period.

Designers may submit original work that complies with the Design Brief and all Platform policies.

Unless otherwise specified, only the selected winning design(s) will be transferred to the Client upon successful completion of payment and execution of the applicable intellectual property transfer provisions.

Special Graphics LLC reserves the right to remove, suspend, or modify any Contest that violates these Terms or applicable law.

14. One-to-One Projects

In addition to Design Contests, Clients may engage Designers directly through One-to-One Projects.

One-to-One Projects allow Clients and Designers to collaborate privately on creative work without opening a public competition.

Project terms, including pricing, deliverables, milestones, timelines, revisions, and payment schedules, may be agreed upon through the Platform.

All communications, payments, file exchanges, and approvals related to One-to-One Projects should occur through the Platform unless otherwise expressly authorized by Special Graphics LLC.

15. Design Categories

The Platform supports a wide variety of creative services, including but not limited to:

Logo Design

Product Packaging Design

Label Design

Business Card Design

Flyer Design

Brochure Design

Poster Design

Social Media Graphics

Website Design

Landing Page Design

Mobile App UI Design

User Experience (UX) Design

Illustration

Character Design

Mascot Design

Book Cover Design

Magazine Cover Design

T-Shirt Design

Merchandise Design

Presentation Design

Infographic Design

Advertising Design

Signage Design

Vehicle Wrap Design

Menu Design

Email Template Design

Motion Graphics

Other creative categories introduced by Special Graphics LLC from time to time.

Special Graphics LLC may add, remove, merge, or modify design categories at its discretion.

16. Public Contests

Public Contests are visible to registered Designers on the Platform.

Eligible Designers may:

View the Design Brief.

Submit original design concepts.

Receive Client feedback.

Revise submissions where permitted.

Compete for the advertised prize.

Clients acknowledge that Design Briefs and related project information published in Public Contests may be visible to participating Designers.

17. Private Contests

Private Contests restrict visibility to invited or approved Designers.

Clients may choose Private Contests when project confidentiality is important.

Designers participating in Private Contests may be required to comply with additional confidentiality obligations or execute separate Non-Disclosure Agreements (NDAs).

Special Graphics LLC cannot guarantee absolute confidentiality but will use commercially reasonable measures to restrict unauthorized access to private contest information.

18. Guaranteed Contests

A Guaranteed Contest is a Design Contest in which the Client commits to selecting at least one eligible winning design and awarding the advertised prize, provided qualifying submissions are received.

To qualify as a Guaranteed Contest:

The advertised prize must be fully funded before the Contest begins.

The Client must select a winning eligible design within the applicable selection period.

Designers must comply with all Contest requirements.

If no eligible submissions satisfy the Design Brief or applicable Platform policies, Special Graphics LLC may review the Contest and determine an appropriate resolution in accordance with these Terms.

Guaranteed Contest status does not prevent the Platform from investigating fraud, copyright violations, rule violations, or other misconduct.

19. Blind Contests

Blind Contests are contests in which participating Designers cannot view the submissions of other Designers during the active submission period.

Blind Contests are intended to:

Encourage originality.

Reduce imitation.

Promote independent creativity.

Provide equal competitive opportunities.

Clients may still review all submitted designs and communicate with Designers through the Platform.

After the Contest concludes, Special Graphics LLC may determine whether contest submissions remain hidden or become visible in accordance with the Client's selected contest settings and applicable Platform policies.

Special Graphics LLC reserves the right to modify the availability, eligibility requirements, and functionality of Blind Contests at any time.

20. Creating a Design Brief

Clients are responsible for preparing a clear, accurate, and complete Design Brief before launching a Design Contest or One-to-One Project.

A Design Brief should include, where applicable:

Project title.

Design category.

Business or organization information.

Design objectives.

Target audience.

Brand guidelines.

Preferred colors, fonts, and styles.

Required dimensions and file formats.

Examples or inspiration (if any).

Submission deadline.

Prize amount or project budget.

Any additional instructions necessary for Designers.

Clients acknowledge that incomplete, inaccurate, or misleading Design Briefs may negatively affect the quality of submissions received.

Special Graphics LLC reserves the right to request modifications to a Design Brief that is unclear, misleading, unlawful, offensive, or otherwise inconsistent with these Terms.

21. Contest Requirements

Before publishing a Design Contest, Clients must:

Complete all required contest information.

Select the appropriate design category.

Specify the contest duration.

Deposit the advertised prize amount through the Platform.

Ensure the requested work complies with applicable laws.

Confirm that the requested design does not infringe upon the rights of third parties.

Clients must not create contests that:

Promote illegal activities.

Contain discriminatory, hateful, or offensive material.

Request copyrighted works without authorization.

Encourage plagiarism or trademark infringement.

Mislead participating Designers.

Special Graphics LLC may reject, suspend, edit, or remove any Contest that violates these requirements.

22. Contest Prize Money

Each Contest must specify a prize amount before publication.

The prize amount:

Must be funded through the Platform before Designers begin submitting entries.

Will remain securely held until the Contest is completed, cancelled in accordance with these Terms, or otherwise resolved.

May include additional platform service fees and applicable taxes.

Unless otherwise stated, the advertised prize is awarded only to the selected winning Designer(s).

Special Graphics LLC may deduct applicable platform fees, payment processing fees, taxes, or other authorized charges before distributing payments to Designers.

23. Providing Feedback

Clients are encouraged to actively participate throughout the Contest by reviewing submissions and providing constructive feedback.

Feedback may include:

Ratings.

Written comments.

Revision requests.

Design preferences.

Clarifications regarding the Design Brief.

Clients agree that all feedback provided through the Platform shall be professional, respectful, and directly related to the Contest.

Constructive feedback generally improves the quality of submissions and increases Designer participation.

24. Selecting Finalists

Where available, Clients may select one or more Design Submissions as finalists before choosing a winning design.

Selection of finalists does not:

Transfer ownership rights.

Guarantee selection as the winner.

Create an employment or contractual relationship beyond these Terms.

Clients should evaluate finalists based on originality, quality, compliance with the Design Brief, creativity, and overall suitability for the project.

Special Graphics LLC may establish deadlines for finalist selection depending on the Contest type.

25. Choosing Winners

Clients are responsible for selecting the winning Design Submission within the contest selection period.

Unless otherwise specified:

Only original and eligible submissions may be selected.

Clients may choose one or multiple winners if permitted by the Contest settings.

Winning selections are generally final once confirmed through the Platform.

Upon completion of the applicable intellectual property transfer requirements and successful payment processing, ownership of the winning design will transfer to the Client in accordance with these Terms and any applicable Design Transfer Agreement.

Special Graphics LLC reserves the right to review winning selections where fraud, plagiarism, intellectual property infringement, or violations of these Terms are suspected.

26. Contest Extensions

Clients may request an extension of the Contest period where additional time is needed to receive submissions, review entries, or make a final decision.

Contest extensions may be subject to:

Platform limitations.

Maximum contest duration.

Additional service fees, where applicable.

Continued compliance with these Terms.

Special Graphics LLC reserves the right to approve or decline extension requests at its discretion.

27. Contest Cancellation

Clients may request cancellation of a Contest in accordance with the Platform's Refund Policy and applicable contest rules.

Cancellation requests may be approved or denied based on factors including:

Whether Designers have already submitted eligible entries.

The stage of the Contest.

Whether finalists have been selected.

Whether the Contest is designated as Guaranteed.

Applicable refund policies.

If a Contest is cancelled, Clients shall not use, copy, reproduce, modify, distribute, or commercially exploit any submitted Design Submission unless the applicable Designer has expressly granted written permission or ownership has lawfully transferred.

Special Graphics LLC reserves the right to determine the appropriate resolution of cancelled Contests, including refunds, credits, or prize distribution, where permitted under these Terms.

28. Client Conduct

Clients must use the Platform honestly, professionally, and in good faith.

Clients agree that they will not:

Harass, threaten, intimidate, or abuse Designers.

Request copied, plagiarized, or infringing work.

Circumvent Platform payment systems.

Solicit Designers to conduct business outside the Platform for the purpose of avoiding applicable fees.

Misrepresent project requirements or budgets.

Manipulate Contest outcomes.

Create fraudulent or duplicate accounts.

Post unlawful, defamatory, or offensive content.

Engage in any conduct that disrupts the operation, integrity, or fairness of the Platform.

Special Graphics LLC reserves the right to investigate alleged misconduct and may issue warnings, suspend Contest privileges, withhold payments, terminate accounts, or take any other action permitted under these Terms or applicable law.

29. Eligibility for Designers

Individuals or legal entities wishing to offer creative services through the Platform must satisfy the eligibility requirements set forth in these Terms.

By registering as a Designer, you represent and warrant that:

You are at least eighteen (18) years of age or have reached the legal age required to enter into binding contracts in your jurisdiction.

You possess the legal right to provide freelance design services.

You have the necessary skills, qualifications, and authority to submit original creative work.

You are not prohibited by law, sanctions, or court order from using the Platform.

All information provided during registration is accurate, complete, and current.

Special Graphics LLC may require identity verification before allowing participation in certain contests, projects, or payment withdrawals.

30. Design Submission Rules

Designers may submit original creative work in response to Design Contests or One-to-One Projects through the Platform.

Each submission must:

Comply with the Client's Design Brief.

Be created specifically for the applicable Contest or Project.

Be submitted before the applicable deadline.

Meet any required file format, size, and technical specifications.

Comply with these Terms and all Platform policies.

Designers are solely responsible for the accuracy, legality, and quality of their submissions.

Special Graphics LLC reserves the right to reject, remove, or disqualify submissions that violate these Terms or applicable law.

31. Original Work Requirement

All Design Submissions must be the Designer's own original work.

Designers must not submit work that:

Copies or substantially imitates another person's design.

Infringes any copyright, trademark, patent, trade dress, or other intellectual property right.

Includes unauthorized stock images, fonts, illustrations, icons, templates, or other third-party materials.

Has been generated or reproduced in violation of applicable licensing terms.

Has previously been sold or exclusively licensed to another client unless expressly permitted.

Designers represent and warrant that they own or have obtained all necessary rights to every element included in each submission.

If a submission is found to infringe the rights of another party, Special Graphics LLC may remove the submission, cancel any associated prize, suspend payments, or terminate the Designer's account.

32. Portfolio Standards

Designers may display selected work within their Platform portfolio, subject to these Terms and applicable intellectual property rights.

Portfolio content should:

Accurately represent the Designer's skills and experience.

Contain only work the Designer has the legal right to display.

Exclude confidential or private client information unless authorized.

Maintain professional quality and presentation.

Designers are responsible for ensuring that portfolio content does not violate confidentiality obligations or third-party rights.

Special Graphics LLC may remove portfolio content that violates Platform policies or applicable law.

33. Communication with Clients

Designers are expected to communicate with Clients in a professional, respectful, and timely manner.

Designers should:

Respond promptly to reasonable Client inquiries.

Request clarification when project requirements are unclear.

Maintain courteous and professional communications.

Conduct contest and project discussions through the Platform whenever possible.

Designers must not:

Harass, threaten, or intimidate Clients.

Send spam or unsolicited promotional messages.

Misrepresent their qualifications or experience.

Attempt to circumvent Platform communication systems for the purpose of avoiding applicable fees or policies.

34. Revisions

Where permitted by the Contest or Project terms, Designers may provide revisions requested by the Client.

Revision requests should remain within the reasonable scope of the original Design Brief unless otherwise agreed by the parties.

Unless expressly stated otherwise:

Designers are not obligated to provide unlimited revisions.

Additional work outside the original project scope may require separate agreement.

Designers should complete revisions within the agreed timeframe.

Special Graphics LLC is not responsible for disputes regarding the number or scope of revisions unless otherwise provided in these Terms.

35. Winning Designer Obligations

A Designer whose submission is selected as a winning design agrees to:

Deliver all required final design files in the specified formats.

Cooperate in completing the applicable intellectual property transfer.

Provide editable source files where required.

Confirm that the submitted work complies with these Terms.

Complete any reasonable post-selection technical requirements necessary to finalize the project.

Upon completion of payment and the applicable intellectual property transfer, the winning Designer grants or assigns the agreed rights in the winning design to the Client in accordance with these Terms and any applicable Design Transfer Agreement.

Designers retain no ownership rights in transferred designs except where expressly provided by law or written agreement.

36. Designer Rankings

Special Graphics LLC may maintain a ranking or reputation system to recognize Designer performance.

Rankings may consider factors including:

Quality of submitted work.

Contest participation.

Client ratings and reviews.

Project completion history.

Professional conduct.

Responsiveness.

Compliance with Platform policies.

Overall reliability.

Designer rankings are provided for informational purposes only and do not guarantee future opportunities, contest invitations, project awards, or earnings.

Special Graphics LLC may modify or discontinue its ranking methodology at any time.

37. Designer Conduct

Designers are expected to conduct themselves professionally and ethically while using the Platform.

Designers must not:

Submit plagiarized or infringing work.

Use another person's account.

Create multiple accounts to gain an unfair advantage.

Manipulate contest outcomes or voting.

Submit automated, duplicate, or low-quality entries.

Circumvent Platform payment systems or applicable fees.

Provide false information regarding qualifications or ownership of submitted work.

Engage in harassment, discrimination, intimidation, or abusive conduct.

Upload malware, malicious code, or harmful content.

Violate any applicable law or regulation.

Special Graphics LLC reserves the right to investigate suspected violations and may issue warnings, remove submissions, suspend contest participation, withhold payments pending investigation, terminate accounts, or take any other action permitted under these Terms or applicable law.

38. Ownership of Submitted Designs

Unless and until ownership is transferred in accordance with these Terms, all intellectual property rights in a Design Submission remain with the Designer who created the work.

By submitting a design to the Platform, the Designer grants Special Graphics LLC a limited, worldwide, non-exclusive, royalty-free license to host, display, store, reproduce, and transmit the Design Submission solely for the purpose of operating, promoting, administering, and improving the Platform.

Submission of a design to a Contest does not automatically transfer ownership to the Client. Ownership transfers only upon satisfaction of the applicable requirements described in these Terms.

39. Copyright Protection

Each Designer represents and warrants that every Design Submission:

Is an original work of authorship.

Does not infringe any copyright, trademark, patent, trade secret, moral right, or other intellectual property right.

Has not been unlawfully copied, reproduced, or adapted from another work.

Does not violate any confidentiality agreement or contractual obligation.

Designers remain solely responsible for defending and resolving any intellectual property claims arising from their submissions.

Special Graphics LLC reserves the right to remove allegedly infringing content and may suspend payments or terminate accounts pending investigation.

40. Intellectual Property Transfer

Ownership of a winning Design Submission transfers to the Client only after all of the following conditions have been satisfied:

The Client has paid all required Contest or Project fees.

The Designer has delivered all required final files.

The Designer has completed any required Design Transfer Agreement.

No legal dispute or intellectual property claim exists regarding the submission.

Unless otherwise agreed in writing, the transfer includes all copyrights and other transferable intellectual property rights in the final approved design to the fullest extent permitted by applicable law.

The Designer retains ownership of any concepts, sketches, drafts, or rejected submissions that were not selected by the Client.

41. Design Transfer Agreement

Winning Designers may be required to execute a Design Transfer Agreement or other documentation reasonably requested by Special Graphics LLC or the Client.

The Design Transfer Agreement may include:

Assignment of copyright.

Transfer of intellectual property rights.

Confirmation of originality.

Delivery of editable source files.

Delivery of supporting design assets.

Warranties regarding ownership and non-infringement.

Additional provisions necessary to complete the transfer of rights.

Failure to execute the required transfer documents within a reasonable time may result in delayed payment, cancellation of the award, or other actions permitted under these Terms.

42. Trademark Responsibility

Clients are solely responsible for determining whether a selected design is suitable for trademark registration or commercial use.

Special Graphics LLC does not guarantee that any Design Submission:

Is available for trademark registration.

Is legally protectable.

Is unique within any jurisdiction.

Does not conflict with existing trademarks, trade names, or other proprietary rights.

Clients are encouraged to conduct appropriate trademark searches and obtain independent legal advice before adopting or registering any design.

43. Third-Party Assets

Designers shall not include third-party materials in a Design Submission unless they possess all necessary rights, permissions, or licenses.

Third-party assets may include, without limitation:

Illustrations.

Photographs.

Graphics.

Textures.

Templates.

Patterns.

Audio or video elements.

Other copyrighted materials.

Where third-party assets are permitted by the Design Brief, Designers must disclose their use and provide evidence of the applicable license upon request.

Unauthorized use of third-party assets may result in disqualification, removal of the submission, forfeiture of prize money, suspension of payments, or account termination.

44. Fonts, Icons and Stock Resources

Designers are responsible for ensuring that any fonts, icons, stock images, vectors, brushes, textures, or similar resources used in a Design Submission are properly licensed.

Unless expressly authorized by the applicable license:

Designers shall not transfer assets that cannot legally be transferred to the Client.

Designers shall not incorporate resources requiring ongoing subscription licenses without disclosure.

Designers shall provide information regarding any required commercial licenses associated with included assets.

Clients are responsible for obtaining any continuing licenses required for lawful commercial use after ownership transfer.

45. AI-Generated Designs Policy

Special Graphics LLC recognizes that artificial intelligence ("AI") tools may assist Designers during the creative process. However, all submitted work must comply with this Policy.

Designers who use AI-assisted tools must ensure that:

They possess the legal right to use the AI-generated output.

The submitted work does not infringe the rights of any third party.

The final design contains meaningful human creative contribution and professional judgment.

The output complies with the applicable terms and licensing conditions of the AI service used.

Any AI-generated content is disclosed to the Client if required by the Contest, Project, or applicable law.

Special Graphics LLC reserves the right to prohibit or restrict AI-generated submissions in certain categories or contests and may request additional information regarding the creation process where necessary.

Designers remain fully responsible for the originality, legality, quality, and ownership of all submitted work, regardless of whether AI tools were used.

46. Portfolio Rights

Unless otherwise agreed in writing or prohibited by confidentiality obligations, a Designer may display a winning or completed design within the Designer's professional portfolio after the project has been completed.

Designers must not display work that:

Is subject to a confidentiality agreement.

Belongs to a Private Contest where portfolio display is prohibited.

Contains confidential business information.

Violates the Client's contractual rights or applicable law.

Special Graphics LLC may display completed projects, Designer profiles, contest results, and selected creative works for promotional, educational, marketing, archival, or portfolio purposes, unless otherwise restricted by written agreement or applicable law.

Clients may request removal of publicly displayed work where legally required or where confidentiality obligations apply, and Special Graphics LLC will review such requests in accordance with applicable law and Platform policies

47. Platform Fees

Special Graphics LLC charges a Platform Service Fee for services provided through the Platform. Unless otherwise expressly stated, the standard Platform Service Fee is twenty-two percent (22%) of the total amount earned by a Designer through the Platform.

The Platform Service Fee applies to, including but not limited to:

Winning prizes awarded through Design Contests.

Payments received through One-to-One Projects.

Any other creative services completed through the Platform, unless otherwise specified.

The Platform Service Fee is automatically deducted before funds are released to the Designer. The remaining balance ("Net Earnings") will be made available for withdrawal in accordance with these Terms.

Examples:

If a Design Contest offers a prize of USD $500, the Designer will receive USD $390, and USD $110 (22%) will be retained by Special Graphics LLC as the Platform Service Fee.

If a One-to-One Project is completed for USD $1,000, the Designer will receive USD $780, and USD $220 (22%) will be retained by Special Graphics LLC as the Platform Service Fee.

In addition to the Platform Service Fee, Special Graphics LLC may charge other fees for optional services or premium features, including but not limited to:

Contest creation fees.

Featured Contest upgrades.

Premium account subscriptions.

Marketing or promotional services.

Optional add-on features.

Payment processing fees, where applicable.

Transaction fees, where disclosed before checkout.

All applicable fees will be clearly disclosed to the Client or Designer before the relevant transaction is completed.

Special Graphics LLC reserves the right to modify its fee structure for future transactions. Any changes will apply prospectively and will not affect transactions already accepted or completed unless otherwise required by applicable law.

48. Contest Payments

Before a Design Contest is published, the Client must deposit the advertised prize amount and any applicable Platform fees through the Platform.

Contest funds will generally be held in a secure payment account until one of the following occurs:

The winning Designer has fulfilled all applicable requirements.

The Contest is cancelled in accordance with these Terms.

A dispute is resolved.

Payment is otherwise released in accordance with Platform policies.

Clients authorize Special Graphics LLC or its authorized payment providers to process payments using the selected payment method.

49. Prize Distribution

Upon successful completion of a Contest and satisfaction of all applicable requirements, the advertised prize will be distributed to the selected winning Designer.

Prize distribution is subject to:

Confirmation of the winning selection.

Completion of any required Design Transfer Agreement.

Delivery of final design files.

Successful payment verification.

Compliance with these Terms.

Special Graphics LLC may withhold or delay prize distribution where fraud, identity verification issues, legal disputes, chargebacks, intellectual property claims, or policy violations are reasonably suspected.

50. Freelancer Earnings

Designers are entitled to receive Net Earnings after deduction of the applicable Platform Service Fee and any other authorized deductions.

For every successful transaction completed through the Platform:

Design Contests: A Platform Service Fee of 22% will be deducted from the winning prize before payment is released to the winning Designer.

One-to-One Projects: A Platform Service Fee of 22% will be deducted from the total project payment before funds are released to the Designer.

Additional deductions may include:

Payment processing fees, where applicable.

Taxes required by law.

Currency conversion fees, if applicable.

Other deductions authorized under these Terms.

Designers acknowledge and agree that the Platform Service Fee constitutes payment for the services provided by Special Graphics LLC, including operation of the marketplace, payment processing, fraud prevention, customer support, dispute resolution, marketing, platform security, and ongoing maintenance.

No earnings become payable until all applicable verification, intellectual property transfer requirements, and payment conditions have been satisfied.

51. Withdrawal Methods

Eligible Designers may withdraw available earnings using payment methods supported by the Platform.

Available withdrawal methods may include:

PayPal.

Payoneer.

Withdrawal requests may be subject to:

Identity verification.

Minimum withdrawal thresholds.

Processing fees.

Currency conversion fees.

Security reviews.

Compliance with anti-money laundering (AML) and fraud prevention requirements.

Special Graphics LLC may add, remove, or modify supported withdrawal methods at its discretion.

52. Payment Processing

Payments made through the Platform are processed by authorized third-party payment service providers.

By using the Platform, Users authorize Special Graphics LLC and its payment partners to:

Process payments.

Verify payment methods.

Hold funds where necessary.

Issue refunds where applicable.

Deduct authorized fees.

Prevent fraudulent transactions.

Comply with legal and regulatory obligations.

Special Graphics LLC does not store complete payment card information unless permitted by applicable law and industry security standards.

Payment processing times may vary depending on financial institutions, payment providers, identity verification, and regulatory requirements.

53. Taxes

Each User is solely responsible for determining and complying with applicable tax obligations arising from use of the Platform.

This may include:

Income taxes.

Sales taxes.

Value Added Tax (VAT).

Goods and Services Tax (GST).

Withholding taxes.

Self-employment taxes.

Corporate taxes.

Other applicable governmental charges.

Where required by law, Special Graphics LLC may collect, report, withhold, or remit taxes on behalf of Users.

Users agree to provide accurate tax information and documentation upon request.

Special Graphics LLC does not provide tax, accounting, or legal advice, and Users are encouraged to consult qualified professional advisers regarding their individual tax obligations.

54. Currency Conversion

The Platform may support transactions in multiple currencies.

Where currency conversion is required:

Exchange rates may be determined by the applicable payment provider or financial institution.

Additional conversion or foreign transaction fees may apply.

The amount received by a Designer may differ from the original Contest prize due to exchange rate fluctuations and applicable fees.

Special Graphics LLC is not responsible for exchange rate changes occurring before payment is completed.

Unless otherwise stated, all Platform fees are calculated in the currency displayed at checkout.

55. Chargebacks

Clients agree not to initiate a chargeback, payment reversal, or unauthorized payment dispute for transactions that have been properly completed through the Platform.

If a chargeback is initiated:

Special Graphics LLC may temporarily suspend the associated account.

Outstanding payments may be withheld.

Platform services may be restricted.

Recovery costs, administrative fees, legal expenses, and other reasonable costs incurred by Special Graphics LLC may be charged to the responsible User where permitted by law.

Fraudulent or abusive chargebacks may result in permanent account termination and legal action.

Nothing in this section limits a User's rights under applicable consumer protection laws.

56. Failed Payments

If a payment cannot be successfully processed, Special Graphics LLC may:

Suspend publication of a Contest.

Delay payment distribution.

Restrict account functionality.

Require an alternative payment method.

Cancel the affected transaction where appropriate.

Common reasons for failed payments include:

Insufficient funds.

Expired payment methods.

Payment authorization failures.

Banking restrictions.

Fraud prevention measures.

Technical processing errors.

Users are responsible for maintaining valid payment information and promptly resolving any payment issues.

Special Graphics LLC shall not be liable for delays or losses resulting from payment failures caused by third-party financial institutions, payment processors, or circumstances beyond its reasonable control.

57. Refund Eligibility

Special Graphics LLC aims to provide a fair and transparent refund process for both Clients and Designers.

Refund eligibility depends on the type of Contest or Project, the stage of completion, and compliance with these Terms.

Unless otherwise required by applicable law, Platform Service Fees are non-refundable except where expressly stated in this Refund Policy.

58. Standard Contest Refunds

A Standard Contest is a Design Contest that is not designated as a Guaranteed Contest.

A Client may request cancellation and a refund at any time before selecting a winning Designer if the Client is not reasonably satisfied with the submitted designs.

If a refund request is approved:

The Contest will be permanently closed.

No winning Designer will be selected.

Designers will retain ownership of all submitted work.

The Client shall not use, copy, modify, reproduce, or commercially exploit any submitted design.

Special Graphics LLC will retain a Platform Service Fee equal to twenty-two percent (22%) of the total Contest prize as compensation for operating and administering the Contest.

The remaining seventy-eight percent (78%) of the Contest prize will be refunded to the Client using the original payment method or Platform Credit, at the discretion of Special Graphics LLC.

Refund requests may be denied where fraud, abuse, or misuse of the Platform is suspected.

59. Guaranteed Contest Refunds

A Guaranteed Contest is a Contest in which the Client commits to awarding the advertised prize to at least one eligible Designer.

By publishing a Guaranteed Contest, the Client acknowledges and agrees that:

The Contest prize is non-refundable after the Contest begins.

The Client must select at least one winning Designer from eligible submissions received during the Contest.

The Client may not cancel the Contest solely because they are dissatisfied after Designers have completed eligible work.

Once the Final Round has concluded:

The Contest will automatically enter a Selection Period.

During this period, the Contest will be locked, and no additional submissions or revisions may be made.

The Client will have twenty (20) calendar days to review the finalist entries and select a winning Designer.

If the Client fails to select a winner within the twenty (20) day Selection Period:

Special Graphics LLC may automatically close the Contest.

The total prize money will be distributed equally among all Designers who qualified for and actively participated in the Final Round, unless another distribution method has been announced for that Contest before it began.

The Client will receive ownership rights only to the design(s) formally selected under the Platform's procedures. If no winner is selected by the Client, no intellectual property rights transfer automatically.

This policy recognizes the time, effort, and professional work contributed by Designers participating in Guaranteed Contests.

60. Project Refunds

Refunds for One-to-One Projects depend on the stage of the Project.

Where no work has commenced, the Client may be eligible for a full or partial refund.

Where work has already begun, refund eligibility will depend upon factors including:

Work completed.

Approved milestones.

Delivered files.

Communications between the parties.

Evidence provided during any dispute review.

Special Graphics LLC may review Project disputes and determine an equitable resolution based on the available evidence.

61. Partial Refunds

Where appropriate, Special Graphics LLC may approve a partial refund instead of a full refund.

Partial refunds may be considered where:

A portion of the agreed work has been completed.

Some deliverables have been accepted.

Certain milestones have been approved.

Both parties mutually agree to a partial settlement.

The amount of any partial refund shall be determined by Special Graphics LLC or by mutual agreement between the Client and the Designer.

62. Platform Credits

Instead of receiving a monetary refund, Special Graphics LLC may, at its discretion or with the Client's consent, issue Platform Credits.

Platform Credits may be used toward:

Future Design Contests.

One-to-One Projects.

Premium Platform features.

Other eligible services offered by Special Graphics LLC.

Unless otherwise required by law:

Platform Credits have no cash value.

Platform Credits are non-transferable.

Platform Credits may not be redeemed for cash.

Platform Credits may be subject to expiration dates and additional terms communicated at the time they are issued.

Special Graphics LLC reserves the right to suspend, cancel, or revoke Platform Credits obtained through fraud, abuse, or violation of these Terms.

63. Fraudulent Activities

Users must not engage in any fraudulent, deceptive, dishonest, or misleading conduct while using the Platform.

Prohibited fraudulent activities include, but are not limited to:

Misrepresenting identity or qualifications.

Providing false information during registration or verification.

Using stolen payment methods.

Submitting forged documents.

Money laundering or other financial crimes.

Creating fake transactions or contests.

Attempting to obtain payments through deception.

Any conduct intended to unfairly benefit from the Platform.

Special Graphics LLC may immediately suspend accounts, withhold payments, cancel contests, and report suspected criminal activity to the appropriate authorities.

64. Plagiarism

Every Design Submission must be an original creation of the Designer.

Designers must not:

Copy another Designer's work.

Trace or recreate existing designs without authorization.

Submit designs downloaded from the internet.

Reuse another person's logo, illustration, packaging, artwork, or branding.

Submit work previously created by another individual or organization as their own.

Any submission found to be plagiarized may be immediately removed from the Platform.

Repeated plagiarism may result in permanent account termination and forfeiture of unpaid earnings.

65. Copyright Infringement

Users shall respect all intellectual property rights.

No User may upload, distribute, reproduce, or sell content that infringes upon:

Copyrights.

Trademarks.

Patents.

Trade dress.

Trade secrets.

Moral rights.

Other proprietary rights.

Special Graphics LLC reserves the right to remove allegedly infringing content upon receipt of a valid complaint or where infringement is otherwise reasonably suspected.

Users submitting infringing material remain solely responsible for all resulting legal liability.

66. Spam

Users must not use the Platform to transmit unsolicited or excessive communications.

Prohibited spam includes:

Bulk promotional messages.

Repeated unsolicited contact.

Misleading advertisements.

Automated marketing.

Unsolicited commercial solicitations.

Malicious links or phishing attempts.

Special Graphics LLC may remove spam content without prior notice.

67. Fake Accounts

Each User must maintain truthful account information.

Users may not:

Register using false identities.

Impersonate another person or business.

Create accounts using stolen identities.

Maintain multiple unauthorized accounts.

Purchase, sell, rent, or transfer Platform accounts.

Special Graphics LLC may permanently remove fake accounts and any associated content or earnings.

68. Vote Manipulation

Where the Platform offers public voting, ratings, reviews, or community feedback, Users must participate honestly.

Users must not:

Purchase votes.

Exchange votes for compensation.

Use bots or automated systems.

Coordinate artificial voting campaigns.

Create fake accounts to influence voting.

Manipulate ratings or reviews.

Special Graphics LLC reserves the right to invalidate manipulated votes and remove associated content.

69. Contest Manipulation

Users must compete fairly.

The following conduct is prohibited:

Coordinating with other Users to influence Contest outcomes.

Sharing confidential Contest information improperly.

Using duplicate accounts to submit multiple entries.

Intentionally disrupting another Designer's participation.

Falsely reporting competing Designers.

Interfering with Contest administration.

Colluding to influence prize distribution.

Where Contest manipulation is detected, Special Graphics LLC may cancel entries, suspend Contests, redistribute prizes where appropriate, or terminate accounts.

70. Circumventing Platform Fees

Users agree not to avoid or attempt to avoid Platform Service Fees.

Prohibited conduct includes:

Structuring transactions to reduce Platform fees.

Dividing payments outside the Platform.

Requesting false invoices.

Creating duplicate Projects to avoid fees.

Encouraging another User to avoid Platform commissions.

Any attempt to circumvent Platform fees constitutes a material breach of these Terms.

Special Graphics LLC may recover unpaid fees, suspend accounts, withhold payments, and terminate Platform access.

71. Direct Payments Outside the Platform

For the protection of Clients, Designers, and the integrity of the Platform, all payments relating to Contests and One-to-One Projects initiated through Special Graphics LLC must be completed exclusively through the Platform.

Users must not:

Request payment outside the Platform.

Accept payment outside the Platform.

Share bank account details or payment instructions for the purpose of avoiding Platform fees.

Encourage another User to complete transactions outside the Platform.

Where Special Graphics LLC determines that Users intentionally completed or attempted to complete transactions outside the Platform to avoid the applicable 22% Platform Service Fee, Special Graphics LLC may:

Suspend or permanently terminate one or both accounts.

Cancel affected Contests or Projects.

Withhold outstanding earnings.

Recover unpaid Platform Service Fees.

Restrict future use of the Platform.

Pursue any other remedies available under applicable law.

This restriction does not prohibit Users from conducting future independent business relationships after the applicable exclusivity period, if such period is established by Special Graphics LLC in a separate policy.

72. Illegal Content

Users must not upload, publish, request, transmit, or distribute content that violates any applicable law.

Prohibited content includes, but is not limited to:

Child sexual abuse material or exploitation.

Terrorist or extremist content.

Fraudulent or deceptive materials.

Counterfeit goods or intellectual property violations.

Malware or malicious software.

Illegal drug promotion.

Human trafficking content.

Content encouraging criminal conduct.

Any material prohibited by applicable law.

Special Graphics LLC will cooperate with law enforcement and regulatory authorities where legally required.

73. Offensive Material

Users must maintain a professional and respectful environment.

The Platform may prohibit content that is:

Hateful or discriminatory.

Threatening or harassing.

Defamatory.

Sexually explicit where inappropriate for the Platform.

Obscene or excessively violent.

Intended to intimidate or abuse another User.

Designed to incite hatred or unlawful conduct.

Special Graphics LLC reserves the right to remove content that violates these standards and may issue warnings, suspend accounts, permanently terminate Users, or take other appropriate enforcement action.

Enforcement decisions may consider the severity, frequency, intent, and impact of the violation, as well as applicable legal requirements.

74. Code of Conduct

Special Graphics LLC is committed to maintaining a professional, respectful, and trustworthy marketplace for Clients, Designers, and all other Users.

By using the Platform, every User agrees to:

Conduct themselves honestly, professionally, and ethically.

Treat all Users with courtesy and respect.

Communicate in good faith.

Follow these Terms and all Platform policies.

Respect intellectual property rights.

Cooperate during dispute investigations.

Comply with all applicable laws and regulations.

Users are expected to contribute to a safe and collaborative environment that encourages creativity, innovation, and fair competition.

75. Respectful Communication

Users must communicate in a professional and respectful manner at all times.

Users should:

Provide constructive and courteous feedback.

Respond honestly and professionally.

Respect cultural and personal differences.

Use appropriate language in all communications.

Users must not:

Use abusive, threatening, or intimidating language.

Engage in personal attacks or insults.

Publish defamatory or false statements about another User.

Repeatedly contact another User after being asked to stop.

Use offensive, vulgar, or discriminatory language.

Special Graphics LLC reserves the right to remove inappropriate communications and take enforcement action where necessary.

76. Harassment Policy

Harassment of any kind is strictly prohibited.

Harassment includes, but is not limited to:

Bullying or intimidation.

Threats of violence or harm.

Persistent unwanted communication.

Sexual harassment.

Stalking or intimidation.

Blackmail or coercion.

Doxxing or disclosure of another person's private information.

Retaliation against Users who report misconduct.

Users found engaging in harassment may be subject to immediate account suspension or permanent termination.

Where required by law, Special Graphics LLC may cooperate with law enforcement authorities.

77. Discrimination Policy

Special Graphics LLC provides an inclusive marketplace where all Users are treated fairly and equally.

Users must not discriminate against another person on the basis of:

Race or ethnicity.

Nationality or citizenship.

Color.

Religion or belief.

Sex or gender.

Gender identity or gender expression.

Sexual orientation.

Age.

Disability or medical condition.

Marital or family status.

Pregnancy.

Veteran or military status.

Any other characteristic protected under applicable law.

Discriminatory conduct, hate speech, or exclusionary practices are prohibited and may result in disciplinary action, including permanent removal from the Platform.

78. Content Moderation

To maintain the quality, safety, and integrity of the Platform, Special Graphics LLC reserves the right to review, moderate, restrict, edit, remove, or disable access to any content submitted to the Platform.

Content subject to moderation includes, but is not limited to:

Design submissions.

Contest briefs.

Portfolio content.

Messages.

Reviews and ratings.

User profiles.

Comments.

Uploaded files.

Content may be removed where it:

Violates these Terms.

Infringes intellectual property rights.

Contains unlawful material.

Includes offensive or harmful content.

Contains malware or malicious code.

Promotes fraud or deception.

Endangers the safety or security of Users or the Platform.

Special Graphics LLC may use automated systems together with human review to detect policy violations. Removal of content does not necessarily imply unlawful conduct but may reflect a violation of Platform policies or Community Standards.

79. Reporting Abuse

Users are encouraged to promptly report suspected violations of these Terms or any abusive, fraudulent, or unlawful activity.

Reports may include, but are not limited to:

Harassment or bullying.

Copyright or trademark infringement.

Fraud or scams.

Fake accounts.

Contest manipulation.

Plagiarism.

Offensive or illegal content.

Payment fraud.

Security concerns.

Upon receiving a report, Special Graphics LLC may:

Review the available evidence.

Request additional information from the reporting User or the accused User.

Temporarily restrict accounts or content during an investigation.

Remove content that violates these Terms.

Suspend or permanently terminate accounts where appropriate.

Refer matters to law enforcement or regulatory authorities when required by law.

Users are expected to submit reports honestly and in good faith. Knowingly submitting false, malicious, or misleading reports may itself constitute a violation of these Terms and may result in disciplinary action.

80. Privacy Policy

Special Graphics LLC is committed to protecting the privacy and personal information of all Users. This section explains how we collect, use, store, protect, and disclose personal information when you access or use the Platform.

By creating an account or using the Platform, you acknowledge that you have read and understood this Privacy Policy and consent to the collection and use of your information as described in these Terms.

Where required by applicable law, Special Graphics LLC will obtain additional consent before collecting or processing certain categories of personal information.

This Privacy Policy should be read together with these Terms and any separate Cookie Policy or other privacy notices published by Special Graphics LLC.

81. Collection of Personal Information

85. User Responsibilities

Users also play an important role in protecting their personal information.

Each User agrees to:

Maintain the confidentiality of account credentials.

Use strong, unique passwords.

Enable available security features, including multi-factor authentication where offered.

Keep account information accurate and current.

Promptly report suspected unauthorized access or security incidents.

Avoid sharing confidential login credentials with any third party.

Users are responsible for all activities conducted through their accounts unless otherwise required by applicable law.

86. Confidential Information

During the course of using the Platform, Users may gain access to confidential or proprietary information belonging to other Users or to Special Graphics LLC.

Confidential Information may include, but is not limited to:

Private Contest briefs.

Business plans.

Marketing strategies.

Customer information.

Product concepts.

Source files.

Pricing information.

Trade secrets.

Technical documentation.

Non-public communications.

Any information designated as confidential by the disclosing party.

Users agree to:

Use Confidential Information solely for the purpose for which it was provided.

Protect Confidential Information using reasonable care.

Not disclose Confidential Information to any unauthorized person without prior written consent.

Not copy, distribute, publish, or commercially exploit Confidential Information except as authorized.

These confidentiality obligations do not apply to information that:

Is publicly available through no fault of the receiving party.

Was lawfully known prior to disclosure.

Is independently developed without reference to the Confidential Information.

Must be disclosed pursuant to applicable law, court order, or governmental authority, provided that legally permissible notice is given to the disclosing party before disclosure.

The confidentiality obligations contained in this section survive the termination of a User's account or these Terms for as long as the information remains confidential under applicable law or any separate written agreement.

87. No Employment Relationship

Special Graphics LLC operates solely as an online marketplace that connects Clients and Designers.

Nothing contained in these Terms shall be interpreted as creating or establishing any:

Employment relationship;

Employer–employee relationship;

Partnership;

Joint venture;

Agency relationship;

Franchise;

Fiduciary relationship; or

Other legal association between Special Graphics LLC and any User.

Users acknowledge that they participate in the Platform voluntarily and are solely responsible for their own business activities, decisions, and obligations.

Special Graphics LLC is not the employer of any Designer and does not supervise, direct, or control the manner in which creative services are performed.

88. Independent Contractors

All Designers providing services through the Platform act solely as independent contractors.

Each Designer is exclusively responsible for:

Determining how services are performed.

Maintaining any required business licenses or professional qualifications.

Paying applicable taxes and government charges.

Maintaining appropriate insurance where required.

Complying with all applicable laws and regulations.

Managing their own business operations.

Clients acknowledge that they engage Designers as independent professionals and not as employees of Special Graphics LLC.

Nothing in these Terms authorizes any User to act on behalf of or legally bind Special Graphics LLC.

89. No Guarantee of Success

Special Graphics LLC does not guarantee:

That a Client will receive a design meeting their expectations.

That a Designer will win a Contest.

That a Designer will receive Projects or future work.

Any minimum level of income or earnings.

Any specific number of Contest entries.

Any increase in sales, revenue, or business performance resulting from the use of designs obtained through the Platform.

The commercial success, trademark registrability, or legal protectability of any design.

The Platform provides opportunities for Clients and Designers to collaborate but does not guarantee any particular outcome, business opportunity, or financial benefit.

90. Service Availability

Special Graphics LLC strives to maintain reliable access to the Platform but does not guarantee uninterrupted or error-free operation.

The Platform may become temporarily unavailable due to:

Scheduled maintenance.

Emergency maintenance.

Software updates.

Security incidents.

Internet or telecommunications failures.

Hardware failures.

Cyberattacks.

Natural disasters or other events beyond our reasonable control.

Special Graphics LLC reserves the right to modify, suspend, discontinue, or restrict access to any portion of the Platform at any time, with or without notice, where reasonably necessary.

Users acknowledge that temporary interruptions may occur and agree that such interruptions do not constitute a breach of these Terms.

91. Third-Party Services

The Platform may integrate with or provide access to third-party products, services, websites, software, payment processors, cloud providers, communication tools, analytics providers, or other external services.

These third-party services are operated independently of Special Graphics LLC.

Accordingly:

Special Graphics LLC does not own or control third-party services.

We do not guarantee the availability, accuracy, reliability, or security of third-party services.

Use of third-party services is subject to the terms and privacy policies of the respective providers.

Special Graphics LLC is not responsible for the acts, omissions, products, services, or content of third parties.

Users access third-party services at their own risk.

92. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform and all related services are provided on an "AS IS" and "AS AVAILABLE" basis.

Special Graphics LLC expressly disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including, without limitation:

Implied warranties of merchantability.

Fitness for a particular purpose.

Non-infringement.

Accuracy, completeness, or reliability of information.

Continuous or uninterrupted availability.

Security against all possible cyber threats.

Compatibility with every device, browser, or operating system.

Freedom from viruses, malware, or other harmful components.

That defects or errors will always be corrected.

Special Graphics LLC does not warrant that:

The Platform will meet every User's expectations or requirements.

Design submissions will satisfy a Client's preferences.

Any Contest or Project will result in a successful business outcome.

Communications between Users will be uninterrupted or error-free.

Files uploaded by Users will be free from defects or legal claims.

Users assume all risks associated with their use of the Platform and any transactions conducted through it.

Nothing in this section excludes or limits any warranty or legal right that cannot be excluded or limited under applicable law.

93. User Disputes

Special Graphics LLC encourages Clients and Designers to resolve disputes directly through respectful communication whenever possible.

Disputes may include, but are not limited to:

Design quality.

Project deliverables.

Contest outcomes.

Payment disagreements.

Intellectual property ownership.

Revision requests.

Contract performance.

Misconduct by another User.

Users agree to cooperate in good faith to reach a fair resolution before requesting Platform intervention.

Special Graphics LLC is not a party to agreements between Clients and Designers and does not guarantee any particular dispute outcome.

94. Platform Mediation

Where Users are unable to resolve a dispute independently, either party may request assistance from Special Graphics LLC.

As a neutral marketplace operator, Special Graphics LLC may:

Review communications and submitted evidence.

Review Contest entries, Project files, and payment records.

Request additional information from either party.

Temporarily suspend payments while a dispute is under review.

Determine whether Platform policies or these Terms have been violated.

Recommend or implement a resolution consistent with these Terms.

Platform mediation is an internal dispute resolution process intended to facilitate fair outcomes. Unless otherwise required by applicable law, decisions made by Special Graphics LLC regarding Platform policy enforcement, payment holds, contest administration, or account actions shall be final for purposes of operating the Platform.

95. Intellectual Property Complaints

Special Graphics LLC respects the intellectual property rights of others and expects all Users to do the same.

If any person believes that content available on the Platform infringes their intellectual property rights, they may submit a written complaint containing:

Identification of the copyrighted work, trademark, or other intellectual property claimed to be infringed.

Identification of the allegedly infringing material.

Information reasonably sufficient to locate the material on the Platform.

Contact information of the complainant.

A statement made in good faith that the complained-of use is unauthorized.

A statement that the information provided is accurate and that the complainant is authorized to act on behalf of the rights holder, where applicable.

Special Graphics LLC may investigate the complaint and, where appropriate, remove or disable access to the allegedly infringing material, suspend accounts, or take other reasonable enforcement actions.

Knowingly submitting false or misleading intellectual property complaints may result in account suspension or other legal consequences.

96. DMCA Copyright Policy

Special Graphics LLC complies with the Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws.

Copyright owners or their authorized representatives who believe that material available through the Platform infringes their copyrights may submit a valid DMCA takedown notice.

A valid notice should include:

Identification of the copyrighted work claimed to have been infringed.

Identification of the material to be removed.

Sufficient information to locate the material.

Contact information for the copyright owner or authorized representative.

A statement made under penalty of perjury that the complaint is submitted in good faith.

A physical or electronic signature of the copyright owner or authorized representative.

Upon receipt of a valid notice, Special Graphics LLC may remove or disable access to the allegedly infringing material and notify the affected User.

Users who believe their content was removed in error may submit a lawful counter-notification where permitted by applicable law.

Special Graphics LLC reserves the right to suspend or permanently terminate accounts belonging to repeat copyright infringers.

97. Governing Law

These Terms and any dispute arising out of or relating to the Platform, its services, or these Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.

Where federal law applies, the applicable laws of the United States shall also govern.

Nothing in these Terms limits any non-waivable rights provided to consumers under applicable law.

98. Arbitration

Except where prohibited by applicable law or where either party seeks injunctive relief relating to intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall first be addressed through good-faith negotiations.

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration administered by a mutually agreed arbitration provider in accordance with its applicable commercial arbitration rules.

The arbitration shall:

Be conducted in the English language.

Be conducted by a single neutral arbitrator unless otherwise agreed.

Permit electronic hearings where appropriate.

Result in a final and binding decision enforceable in any court of competent jurisdiction.

Each party shall bear its own legal costs unless the arbitrator determines otherwise under applicable law or the arbitration rules.

Nothing in this section prevents Special Graphics LLC from seeking temporary or permanent injunctive relief, equitable relief, or other remedies to protect its intellectual property, confidential information, security, or other legal rights.

99. Jurisdiction and Venue

To the extent that any dispute is permitted to proceed in court rather than through arbitration, the parties irrevocably agree that the state and federal courts located in Bernalillo County, New Mexico, United States, shall have exclusive jurisdiction and venue over such proceedings.

Each User:

Consents to the personal jurisdiction of those courts.

Waives any objection based on improper venue or forum non conveniens.

Agrees that any judgment entered by a court of competent jurisdiction may be enforced in accordance with applicable law.

Nothing in this section prevents Special Graphics LLC from bringing legal proceedings in another jurisdiction where necessary to enforce its rights, recover unpaid amounts, protect intellectual property, or comply with applicable law.
